FRONTIER CAPITAL TRUST SERVICE AGREEMENT

This agreement is a contract between Frontier Capital Trust, an Express Trust Organization, of 360 North Cattlemen Rd Sarasota, FL 34232 hereinafter referred to as “Contractor/Owner”, and

  • Purpose of this Agreement: this agreement is a contract by and between the above parties which 1) establishes a private Independent Contractor Relationship; which 2) absolutely excludes an employer-employee relationship; which 3) is expressively based upon, recognizes, and relies upon the common-law rights and freedoms preserved in the United States Constitution, Article 1, Section 10, Paragraph 1 protecting the rights of persons to contract; and which 4) is subject to, and in consideration of, the following terms, conditions, mutual promises and understanding of the Contractee and
  •  Services to be Rendered: During the term of this agreement, the contractor shall provide the following services to the Contractee:
    1. Delivery of an Irrevocable Trust Declaration template hereinafter referred to as “trust”.
    2. All the necessary instructions to establish trust EIN & open a trust account
    3. An online educational course to assist in the administration of the established
    4. X amount of Consults (To be determined upon the invoice), 1 Hour each covering structure, planning and
    5. Invoice and Service Agreement reflecting the nature of services

 

  •  Contractee will Provide: During the term of this agreement, the Contractee will provide the following for the Contractor:
    1. Timely payment for services to be
    2. All the necessary details and information needed for the creation and establishment of the trust.

    5. Accurate and truthful information as to avoid mistake, coercion, or
  •  Compensation to Contractor: The Contractee agrees to compensate the Contractor under the following schedule:
    1. Contractee receives a valid proposal for services to be rendered
    2. Payment link is received by Contractee
    3. Contractee makes a timely payment
    4. or by either party giving due notice, may cancel.
    5. Acceptance, denial or countering must be given 7 days from the Quoted price. For services the Contractee have 7 day grace period from the date of receiving payment link, in which the quoted price is honored. After the grace period ends prices are subject to
    6. All consultation fees are non-refundable and shall be paid and be received upfront and in full.
    7. Consultation Cancellation: The Contractee must give a 24 hour notice before consultation appointment to avoid being subject to forfeiting their appointment time.

 

  •  Method of Performance: The Contractor retains the right to determine which methods of shall be used to achieve end
  •  Facilities: All services by the Contractor shall be provided/performed over the internet (Email, Zoom & Our Online Course Platform.
  •  Expenses and Equipment: The Contractor shall pay for all of his/her personal and related expenses and shall be used to achieve end results.
  •  Length of Contract: This service in relation to this contract shall run from the date of signing this contract until 1 year after the signatory date on this agreement, giving adequate time for all necessary services like consulting and operations to have been delivered to the Contractee however, the obligations of this Agreement shall survive indefinitely from the signature date of this Agreement or until the Contractor sends the Contractee written notice releasing the Contractee from this Agreement. After that, the Contractee must continue to protect the Confidential Information that was received during the term of this Agreement from unauthorized use or disclosure
  •  Termination: Either party may terminate this contract upon written notice of termination to the other party at the email address or address specified
  •  Competition: The Contractor is not restricted in any way from supplying his/her services to other parties while under this contract, even if such activities are related to or in competition with the business of the Contractee.
  •  Independent Free Agent: The Contractor is a free agent, and herein acknowledges that he/she offers services to other business or to the general public in the ordinary course of business, and maintains his/her office and principle-agent relationship between the Contractor and Contractee
  •  Liability: Neither Party shall be liable for the acts, or omissions, debts or obligations of the other party except as expressly set forth herein.
  •  Taxes and Insurance: The Contractor and his/her agents or employees (if any) affected by this Agreement, shall be liable and responsible for any and all local, state, and Common Law taxes deemed owed as a result of the performance of services hereunder, including, but not by way of limitation, Social Security, Unemployment Compensation, Workman’s Compensation, or any other compulsory taxes, dues or fees which affect employers and employees. The Contractor herein agrees to carry his/her own insurance for injury, sickness, public liability, retirement etc, as deemed necessary as a consideration for entering into this The Contractor further acknowledges that he/she is not entitled to benefits under Workman’s Compensation and/or Unemployment Benefits during or after his/her term of service.
  •  Hold Harmless: The Contractor assumes all risks and liabilities relating exclusively to the performance of services under this Agreement, and herein agrees to indemnify and hold the Contractee harmless, and shall defend Contractee from all demands, claims, causes of action, loss damages, or liabilities except those that result from trademark infringement, distribution of copyright material and any other expressed provisions that are contained under this Agreement.
  •  Disputes: In the event of any unresolved disagreement between the parties herein, equity shall supersede prior adjudicated cases. Any question of interpretation or claim shall first be submitted to binding arbitration under the rules of the American Arbitration The prevailing party shall be entitled to satisfaction, plus legal and costs.

 

  •  Good Faith: Each party affirms that it has entered into this Agreement In good faith, and shall endeavor to execute the promises, terms, and conditions herein with diligence and in the best interest of the other
  •  Unenforceable Provisions: If any portion or provision in the Agreement becomes void, invalid, or unenforceable, the remaining portions shall remain in full force and effect.
  •  Confidential Information: The term “Confidential Information” means any information or material which is proprietary to the Owner/Contractor, whether or not owned or developed by the Owner, which is not generally known other than by the Owner, and which the Recipient/Contractee may obtain through any direct or indirect contact with the Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by the Contractor and information of the Owner and any third party with which the Contractor deals, including, without limitation, documents, templates, research, management templates, trust document templates, information regarding general executor status, set-off, private commercial instruments, commercial processes, estate secrets, legal system secrets, all other processes, procedures, contracts, financial institution information and intellectual property shared by the Contractor. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential. Confidential information shall include any information that could cause a negative public reaction and disrupt the public peace.

(a) “Confidential Information” does not include: Matters of public knowledge that result from disclosure by the Owner/Contractor; information rightfully received by the Contractee from a third party without a duty of confidentiality; information independently developed by the Contractee; information disclosed by operation of law; information disclosed by the Contractee with the prior written consent of the Contractor; and any other information that both parties agree in writing is not confidential.

  •  Protection of Confidential Information: The Contractee understands and acknowledges that the Confidential Information has been developed or obtained by the Contractor by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of the Contractor which provides the Contractor with a significant advantage and needs to be protected from improper
  •  No Disclosure: The Contractee will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity be they natural or artificial, public or private, by telephone, fax, copy, email, picture, conversation, and any writing, recording, or transfer of information on or by any medium without the prior written consent of the Owner/Contractor.
  •  Unauthorized Disclosure of Information –Injunction: If it appears that the Contractee has disclosed (or has threatened to disclose) Confidential Information in violation of this Agreement, the Owner/Contractor shall be entitled to an injunction to restrain the Recipient from disclosing the Confidential Information in whole or in part. The Contractor shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and The Contractee agrees to an injunction by private binding arbitration by operation of law for any improper disclosure.
  •  No Copying/Modifying: The Contractee will not copy or modify any Confidential Information without the prior written consent of the Contractor/Owner.
  •  Unauthorized Use: The Contractee/Recipient shall promptly advise the Contractor if the Contractee becomes aware of any possible unauthorized disclosure or use of the Confidential

 

  •  Penalties: Do to the highly sensitive nature of the information and intellectual property that is the subject of this agreement, the Contractee agrees to penalties of one hundred thousand dollars ($100,000.00 USD) per occurrence for any damages to Contractor/Owner(s) caused by any breach of this agreement including but not limited to financial damages and damages to the liberty of any officer, trustee, interest holder or beneficiary of Owner.
  •  Non-Circumvention. For an indefinite period after the signature date of this Agreement, the Contractee will not attempt to do business with, or otherwise solicit any business contacts found or otherwise referred by Contractor to Contractee, or use any information or intellectual property supplied by Frontier Capital Trust, for the purpose of circumventing, the result of which shall be to prevent the Contractor from realizing or recognizing a profit, fees, or otherwise, without the specific written approval of the If such circumvention shall occur the Contractor shall be entitled to any commissions due pursuant to this Agreement or relating to such transaction.
  •  Entire Agreement: This is the entire Agreement between the parties hereto. No part of this Agreement is Any amendments, additions, or deletions to the Agreement, or any modifications of the provisions herein, shall be documented in writing and signed by both parties.
  •  NO The Contractee acknowledges and agrees that the Confidential Information is provided on an “AS IS” basis. THE CONTRACTOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CONFIDENTIAL INFORMATION AND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AS THE CONTRACTOR CANNOT ASSUME LIABILITY FOR THE CONTRACTEES INCAPACITY OR INABILITY TO UTILIZE THE INFORMATION CORRECTLY AND IN NO EVENT SHALL THE CONTRACTOR BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OR USE OF ANY PORTION OF THE CONFIDENTIAL INFORMATION. The Contractee does not represent or warrant that any product, document or template disclosed to the Contractee will be marketed or carried out as disclosed, or at all. Any actions taken by the Recipient in response to the disclosure of the Confidential Information shall be solely at the risk of the Contractee.
